STATUTES OF

FOUNDATIONE MONDO ANIMALE (ONLUS)

 

Art. 1 – Title and Head Office

A foundation has been established, which has the character of a Non-Profit Organisation of Social Utility (ONLUS), called the "ANIMAL WORLD" FOUNDATION.

The acronym ONLUS should be used in the title, on every distinctive stamp and on every communiqué directed to the public.

 

The Foundation has its head office in Castel Volturno, Via Mario Tommaso.

 

Art. 2 – Aims

The foundation will pursue aims which are exclusively social and has as its institutional objective the complete protection of animals, and in particular:

a)        To promote the constitution of a trust fund, the proceeds from which are to be directed permanently towards the creation and running of training courses,  von among which the following stand out as non-obligatory examples:

-          health education

-          surgical technique for the sterilisation of dogs and control of stray populations

-          management of dogs homes

-          economic management of projects (dogs homes, courses, businesses etc)

-        identification and registration of animals

-          animal ethology and bio-ethics

-          the rescue of animals in case of emergency

b)        the creation of a pilot factory based on a biologic model, which will be open to the public, distributing biological products for human consumption, which structures that are organised technically with the aim of improving relations between humans and animals;

c)        the creation of a study centre for education (training) for professionals in veterinary healthcare and the care of animals;

d)        to promote co-operation between interested in AAA/AAT (=the use of animals for human welfare);

e)        e) to promote the sterilisation of dogs and cats and to finance the purchase of furnishings for sterilisation centres, which will be placed at the disposal of public bodies through a contract which will establish the terms of use for stray animals;

f)        to promote the utilisation of systems of registration and monitoring of dogs and cats through microchip and/or other technological systems, and the creation of a data bank;

g)        to promote a campaign for the adoption of dogs currently in dogs homes;

h)       to promote vegetarian eating;

i)       to promote directly or indirectly the collection of funds to be distributed together with funds which derive from the management of the trust fund for the same ends;

In addition to the initiative indicated above, the Foundation is seeking the deepening and the study of all possible themes to do with the protection of animals. In addition, the Foundation will be able to operate in the sectors of information and publishing, promoting initiative aimed at distributing studies, investigations, projects and news useful for a better and wider understanding of the problems which affect animals and their relation to man. To carry out its social aims, the Foundation can stipulate agreements with public and private, national and international institutions and entities; these agreements will be drawn up in order to acquire and to exchange information of a scientific, technical, economic, sociological or juridical character, or of any other type corresponding to its own aims; it will also be able to participate in institutions, entities and associations, including international ones, which have analogous or complementary aims to its own, in order to carry obtain all the finance, equipment and property necessary or useful for achieving the ends in the statutes. It is prohibited to develop functional activities which differ from social objective, with the exception of activities linked to its own institutional objectives, such as all activities that are buy their nature accessories to the statutes since that are included within them, so long as they are within the limits permitted by the law. It is also prohibited to co-operate, to assist, to finance and/or to use in any way the funds of the Foundation in order to open or maintain dogs homes if they are not in harmony with the objectives and aims of the Foundation.

 

Art. 3 – Trust Fund

 

The Foundation’s trust fund is constituted for the movable and fixed property, which are given to it under whatever title, be it through donations or contributions of the part of public or private Entities or individuals, or through surplus generated through its management.
The initial fund of the Foundation is constituted by the goods received through donation by the founders, which are detailed in the appendix (Appendix 1)
Such a trust fund will be able to be increased with other fixed or movable donations, economic donations, legacies and inheritances of the promoters and those who appreciate and share the objectives of the Foundation and who wish to contribute to carrying them out.
 
Attention is drawn to the obligation to proceed so as to conserve and maintain the trust fund. The trust fund and the incomes derived from it are dedicated entirely to the institutional aims of the Foundations, and all other uses remain excluded.

 

Art. 4 – Die Income

 

The income of the Foundation consists of:

 

- goods donated by its founders;

- income derived from the trust fund;

- any eventual donation or contribution from third parties destined to finance specific initiative and not expressly directed to the increase of the trust fund;

- any income deriving from goods temporarily given to the Foundation, including on the basis of trust;

- income obtained in the course of its activities;

- income from the exercise of accessory activities tied to or instrumental to the aims of the Foundation.

The income of the Foundation must be in their entirety destined towards the carrying out of its statutory aims.

 

Art. 5 - The Founders

 

The Founders of the Foundations titles Animal World ONLUS are:

-          Dorothea Friz, born on the 17-01-1951 in Mellrichstadt, residing in Castel Volturno, Via Pagliuca 1, as an individual
 
and

-          the Deutsche Tierschutzbund e.V, which has its head office at 53115 Bonn, Baumschullallee 15, Germany
 
and

-          The Anglo Italian Society for the Protection of Animals (AISPA) which has its head office at 136 Baker Street, London, W1M 1FH, England
 
as collective entities.

 

Art. 6 – Organs of the Foundation

 

The organs of the Foundation are:

-          The President;

-          The Vice President;

-          The Administrative Council;

-          The College of the inspectors of accounts.

 

Art. 7 – The President

 

The president has the forensic representation of the corporate body in front of bystanders and in judgement, with faculty of appointment and countermand of lawyers. The Administrative Council names the President in the first session. The President:

-          he summons and presides the Administrative Council O:P>

-          he bothers about the correct administrative management of the Foundation and the observance of the Statute

-          he adopts, in case of urgency, every provision from him retained opportune, submitting it to ratification of the Administrative Council within twenty days from its adoption

-          he bothers about the predisposition of the budget and the balance survey equipping them of fit relationships.

 

Art. 8 –  Vice President

 

The Administrative Council names the Vice President with the same formalities foreseen for the appointment of the President, of which take the place in case of absence or impediment with equal powers.

 

Art. 9 - Administrative Council

 

The Administrative Council is composed from three so designate members: one from the founder Dorothea Friz and in her deficiency from the President of the O.M.S.; one from the Deutsche Tierschutzbund e.V.; one from the Anglo Italian Society for the Protection of Animals (AISPA). The charge of member of the Administrative Council is incompatible with any other public or political-associative position dressed again during the appointment or from less than five years. Every candidacy to cover said positions will produce immediate decadence from the Administrative Council of the Foundation.

 

Art. 10 - Decadence and Exclusion

 

The members of the Administrative Council decay from the position:

-          after two justified consecutive absences

-          for unexpectedly conditions of incompatibility

-          to be themselves in the condition foreseen by the art. 2382 of the Civil Code

Reasons for exclusion:

a.        the missed respect of statutory and/or regulation norms

b.        the fulfilment of deeds that brings damage to the patrimony or to the good name of the Foundation

The exclusion is deliberate by secret ballot from the Administrative Council and to absolute majority, on initiative of whoever.

 

 

Art. 11 - The Powers

 

It is up to the Administrative Council

-          to elect the President and the Vice-President (save the appointment from the Founders during the constitution of the Foundation);

-          to found Committees, Commissions, to adopt consultations, to approve regulations;

-          to deliberate on the disbursements of the Foundation and on the investments of the patrimony.

Listed competencies are not delegable.

The Administrative Council has every ampler power for the administration of the Foundation, without restraint, as, for example:

a)          to deliberate in order to the acquirements and to the alienation’s of mobile and immovable goods, generally to the assumption of obligations, to the stipulation of contracts and articles of agreement of any kind and sort, to the management of the patrimony of the corporate body and the use of its annuities, to the acceptance of bestowal’s, of liberality and of inheritance, to the acquisition of legacies, to the letter of request of administrative fiats generally and particularly of those related to the acquisition of immovable properties and legacies, and to the acceptance of bestowal’s and inheritance, to acquire legacies of active and passive banking operations, to the opening and the closing of banking and postal counting accounts, to the conferment and the countermand of orders and proxies;

b)          to deliberates in order to the determinate the programmatic lines and the general address of the institutional activities of the Foundation, to the approval of the inside rules, to the approval of the budget and the account survey, to the appointment, according to the suggestion of the President, of the executives of the Foundation with determination of their position, attributions and economic treatment, to the validation and the ratification of adopted deliberations and finished urgent deeds from the President of the Administration Council in subjects relationship not delegated by the same Council, to request of transformation of the Foundation or modification of the present statute, to the liquidation of the Foundation and the letter of request of appointment of the Receiver, to the other matters submitted to the examination of the Administration Council by its President.

 

Art. 12 - Assemblies

 

The Administration Council is summoned by the President through notice, delivered at least five days before that of the assembly, with the indication of the agenda.
The Suggestion gathers in by ordinary once a year and in by extraordinary when the President or another limb of the board of directors, retain him/it opportune.
In case of urgency you/he/she can be summoned to half telegram or telefax or other computer tool and you/he/she can unwind for condition audiovideoconferenza that President and Secretary is in the same place and that every adviser can know the participants and the deeds and used documents.
The assemblies are effective with the intervention of the majority of the reigning Advisers. The deliberations are assumed to majority of the voters, excluding from the calculation the abstainers; in case of parity it prevails the vote of whom presides the assembly.

 

Art. 13 – the Auditors' college

 

The college of the Auditors is composed of three real members and two substitutes named by the founders among the affiliate to the Register of the auditors.
They last reigning three operations and you/they can be always reinstated for an only time.
The College of the auditors checks the administration of the Foundation, he/she watches over on the observance of the norms of lex, of Statute and of rules, and in particular way, on the regular estate of the accounting
The real members of the College participate, without right of vote, to the assemblies of the Administrative Suggestion.

 

Art. 14 – books Records

 

Books are kept records of the joinders of the board of directors and the College of the Auditors, where you/they must have brought, in chronological order, the relative deliberations. The records will have to be undersigned from the president and from the Secretary of every joinder and approved by the organ which you/they report in the following joinder.

 

Art. 15 – balance

 

The operations have elapsed since January 1 to December 31 of every year.
The balance will have to answer to the requisite of the clarity and the completeness and you/he/she must be accompanies from Relationships of the board of directors and the College of the Auditors.

 

Art. 16 – profits

 

The profits and the leftovers of management must have employed for the realization of the institutional activities of the foundation, as well as of those to them directly connected.
During the life of the foundation you/he/she is made express prohibition to distribute, also in indirect way, profits and leftovers of management, as well as funds, reserves or patrimony, unless the dedication or the distribution are not imposed for lex, or are effected for other ONLUS that for lex, statute or for rule, they make party of the same and unitary structure.

 

Art. 17 - extinguishments

 

In case of extinguishments of the foundation for whatever sub-juice, the residual patrimony, exhausted the liquidation, the Organization will be devolved to World Health.

 

Art. 18 - remunerations

 

To the components of the board of directors and the College of the Auditors of the Accounts superior individual remunerations to those expectations cannot be corresponded by the D.P.R. 10.10.94 ns. 645 and from the Dlgs. 21.6.95 ns. 239 convert with lex 3.8.1995 ns. 336 and following modifications and integrations.

 

Art. 19 – residual Norms

 

For everything how much expressly prepared not by the present statute, they intend him recall the norms of the civil code in theme of recognized foundations, as well as the dispositions dictated by the D. Lgs December 4 1997 ns. 460 and following emanande in subject ONLUS
